1. Technology spin-off
Highly innovative technology companies in particular often have more new developments and business approaches than they can or want to realize within the scope of their core business, or existing core technologies become less important for the corporate strategy, e.g., due to a change in strategy or technology, or can no longer be developed on their own.
Instead of simply abandoning such technologies and thus ultimately devaluing them, it can in many cases make sense to make them available to one or more third parties who have suitable products and business models or are about to enter into such technologies. The exploitation can therefore take place in particular by way of a technology transfer, be it through out-licensing, sale (via asset deal or share deal), R&D cooperation or contribution to a joint venture (JV).

- in the preparation of a marketable transfer package in which the technologies to be transferred are compiled, documented and, in particular, the associated intellectual property rights and know-how portfolio (intellectual assets) and the way in which they are made available are defined, taking into account your remaining interests in the technologies to be transferred; and/or

2. Acquisition of Intellectual Assets
The acquisition of intellectual assets (IA) – such as intellectual property (IP) and specialized expertise – is a key instrument for a sustainable growth strategy, especially if future development steps require the introduction of complex system solutions such as IoT, cloud technology or AI.
In this context, it is not (only) about the classic acquisition of companies or conventional assets, but about the acquisition of valuable intellectual assets, in particular know-how and property rights, which form the foundation of a successful acquisition. Our aim is to precisely analyze the “fit” of the intellectual assets to be acquired, possibly as part of a larger acquisition, to assess the value of the intellectual assets and to identify potential opportunities and risks with regard to their usability at an early stage.
We regularly work closely with the highly experienced M&A consulting firm aschenbach + Partner to develop solutions for you from the outset under the joint brand “aXPerience”, which provide you with full transparency regarding the assets to be acquired and suitable structures and paths to such an acquisition. In particular, this also involves designing such M&A processes in such a way that IP and know-how issues do not only emerge as potential deal-breakers at the end of the transaction, but are addressed at an early stage and in a structured manner.
